1. Intellectual Property (IP) & Code Ownership

We believe that if you pay for custom engineering, you own the result. Period.

• Custom Architectures & Models: Upon clearance of final milestone payments, the complete intellectual property rights to your custom software, fine-tuned models, and proprietary datasets are immediately and irrevocably transferred to you.
• Source Code Transfer: We hand over the complete Git repositories, un-minified source code, and cloud infrastructure templates (Terraform/Docker). We hold no hostage code.
• Acadify Core Infrastructure: We retain ownership of our proprietary, pre-existing internal tooling, CI/CD templates, and underlying baseline frameworks. You are granted a perpetual, royalty-free license to use these components as compiled within your final product.

2. AI System Liability & Inference Determinism

Artificial Intelligence (specifically LLMs) introduces probabilistic behavior into software architectures. We engineer rigorous safety guardrails, but you must acknowledge the following technical realities:

• Non-Determinism: Generative AI models may occasionally hallucinate or output non-deterministic results despite strict temperature settings and system prompts. Acadify is not liable for business damages resulting from un-reviewed AI generation.
• Third-Party API Outages: If your architecture relies on OpenAI, Anthropic, or external inference APIs, our SLAs do not cover downtime caused directly by those third-party providers.

3. Enterprise SLAs & Delivery Guarantees

We execute with military precision. Our Service Level Agreements (SLAs) guarantee the structural integrity of what we build:

• 30-Day Zero-Bug Warranty: Any critical bugs or architecture failures discovered within 30 days of production deployment will be patched by our senior engineers immediately, at zero cost to you.
• Performance Baselines: If we agree to specific latency targets (e.g., <100ms API response time), we guarantee the codebase is optimized to hit those targets under the agreed-upon load testing parameters.

4. Payment Milestones & Resource Allocation

Elite engineering requires dedicated resource allocation. Our payment structure reflects this:

• Initial Retainer: A non-refundable retainer (typically 30-50%) is required to lock in your dedicated engineering pod and commence architecture planning.
• Sprint-Based Milestones: Subsequent payments are tied directly to demonstrable, compiled software deliverables at the end of engineering sprints.
• Halting Conditions: Failure to clear invoices within the stipulated Net-15 timeline will trigger an automatic, immediate pause on all code commits and infrastructure provisioning until the balance is resolved.

5. Mutual Non-Disclosure & Confidentiality (NDA)

This document acts as a binding Mutual NDA. Any trade secrets, API keys, algorithmic logic, or business models shared with Acadify are classified as highly confidential. They will never be shared, sold, or discussed outside of your dedicated engineering pod.

6. Limitation of Liability

To the maximum extent permitted by law, Acadify Solution's total liability under any engineering contract shall strictly not exceed the total capital paid by the client for that specific project. We are engineers building software tools; we are not liable for indirect, consequential, or punitive damages resulting from your strategic business usage of those tools.

7. Contract Termination Protocols

If you wish to terminate an active engineering sprint, you may do so with a 15-day written notice. You will immediately receive all code compiled up to the exact minute of termination, provided all outstanding hours/sprints have been fully compensated. We reserve the right to terminate contracts immediately if we discover our software is being utilized for illegal, unethical, or highly malicious activities.
