1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Acadify Solution ("Company," "we," "us," or "our"). By accessing our website, using our services, or entering into a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.
2. Services Provided
Acadify Solution provides comprehensive digital services including:
- Web Development: Custom website design, development, and responsive web applications
- Mobile App Development: iOS, Android, and cross-platform mobile applications
- Digital Marketing: SEO, social media marketing, content marketing, and paid advertising
- UI/UX Design: User interface design, user experience optimization, and prototyping
- Custom Software Development: Tailored software solutions for business needs
- IT Consulting: Technology strategy, architecture planning, and technical advisory
- Maintenance & Support: Ongoing website/app maintenance and technical support
3. Service Agreements & Project Scope
Each project is governed by a separate service agreement that includes:
- Scope of Work: Detailed description of deliverables, features, and functionalities
- Timeline & Milestones: Project schedule with key delivery dates
- Payment Terms: Pricing structure, payment schedule, and accepted methods
- Revision Policy: Number of revisions included and additional revision costs
- Intellectual Property Rights: Ownership and usage rights of delivered work
The service agreement takes precedence over these general Terms for project-specific matters.
4. Payment Terms & Conditions
General Payment Terms:
- Projects require an advance payment (typically 30-50%) before work commences
- Milestone-based payments as specified in the project agreement
- Final payment due before project delivery or launch
- Invoices are payable within the period specified (typically 7-15 days)
Late Payment:
- Late payments may incur interest charges of 1.5% per month
- Work may be suspended until outstanding payments are received
- Continued non-payment may result in project termination and legal action
Pricing: All prices are in Indian Rupees (INR) and exclusive of GST and other applicable taxes unless stated otherwise.
5. Intellectual Property Rights
Upon Full Payment:
- Client owns the intellectual property rights to custom code and designs created specifically for their project
- Source code, design files, and project documentation are transferred to the client
- Client receives rights to use, modify, and distribute the delivered work
Company Retains Rights To:
- Proprietary development frameworks, tools, and methodologies
- Reusable code libraries and components not specific to the client's project
- General knowledge, skills, and expertise gained during projects
- Use of project as a portfolio piece (with client permission)
Third-Party Components: Open-source libraries and third-party services are subject to their respective licenses.
6. Confidentiality & Non-Disclosure
Both parties agree to maintain confidentiality of sensitive information:
- Business plans, strategies, and proprietary information shared during the project
- Technical specifications, source code, and design documents
- Customer data, financial information, and trade secrets
Confidential information may not be disclosed to third parties without written consent, except where required by law or necessary for project delivery (to vetted subcontractors under NDA).
7. Client Responsibilities
For successful project completion, clients must:
- Provide timely feedback, approvals, and required content/materials
- Respond to queries and requests within agreed timeframes
- Provide accurate project requirements and specifications
- Ensure necessary access to systems, accounts, and third-party services
- Make timely payments as per the agreement
- Comply with applicable laws and regulations for their industry
Note: Project delays caused by client non-responsiveness may result in timeline extensions and additional costs.
8. Warranties & Guarantees
We Warrant That:
- Services will be performed with professional skill and care
- Deliverables will substantially conform to agreed specifications
- Bug fixes for issues reported within 30 days of launch (for new projects)
- Code will be free from known malicious code or backdoors
Limitations:
- No guarantee of specific business results, traffic, or revenue
- Third-party services and platforms are not under our control
- Client modifications to code may void warranties
9. Limitation of Liability
To the maximum extent permitted by law:
- Acadify Solution' total liability shall not exceed the total amount paid by the client for the specific project
- We are not liable for indirect, consequential, incidental, or punitive damages
- We are not responsible for loss of profits, revenue, data, or business opportunities
- We are not liable for delays or failures due to force majeure events
Exclusions: This limitation does not apply to liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
10. Project Termination
By Client:
- May terminate with 15 days written notice
- Must pay for all work completed up to termination date
- Advance payments are non-refundable unless specified otherwise
By Company:
- May terminate for non-payment, breach of terms, or client non-cooperation
- Will provide 7 days notice (immediate termination for serious breaches)
- Completed work up to termination will be delivered upon payment settlement
11. Website Usage Terms
By using our website, you agree to:
- Use the website for lawful purposes only
- Not attempt unauthorized access to our systems or data
- Not interfere with website security or functionality
- Not copy, reproduce, or distribute our content without permission
- Respect intellectual property rights of all content
12. Support & Maintenance
Post-launch support terms:
- Warranty Period: 30 days free bug fixes for reported issues
- Ongoing Maintenance: Available through Annual Maintenance Contract (AMC)
- Response Time: As specified in maintenance agreement (typically 24-48 hours)
- Scope: Bug fixes, security updates, minor enhancements as per agreement
13. Dispute Resolution
In case of disputes:
- Negotiation: Parties will first attempt to resolve through good-faith negotiation
- Mediation: If unresolved, disputes will be submitted to mediation
- Arbitration: Unresolved matters will be settled by arbitration in Vadodara, Gujarat
- Governing Law: These Terms are governed by the laws of India
- Jurisdiction: Courts in Vadodara, Gujarat have exclusive jurisdiction
14. Indemnification
Client agrees to indemnify and hold Acadify Solution harmless from claims arising from:
- Client's use of delivered products or services
- Client-provided content, data, or materials
- Client's violation of applicable laws or regulations
- Third-party claims related to client's business operations
15. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:
- Natural disasters, pandemics, or acts of God
- War, terrorism, or civil unrest
- Government regulations or restrictions
- Internet or telecommunications failures
- Third-party service outages
16. Modifications to Terms
Acadify Solution reserves the right to modify these Terms & Conditions at any time:
- Updated terms will be posted on our website with revision date
- Material changes will be communicated via email to active clients
- Continued use of services constitutes acceptance of revised terms
- Existing project agreements remain bound by terms at time of signing
17. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. These Terms, together with specific service agreements, constitute the entire agreement between parties and supersede all prior understandings.
